Maryland Rule 2-124, including Rule 2-124(d), Rule 2-124(h), and Rule 2-124(o).
For Maryland Circuit Court cases, Maryland Rule 2-124 identifies who may be served for different types of business entities.
For a corporation, incorporated association, or joint stock company, Maryland Rule 2-124(d) provides that service is made by serving the resident agent, president, secretary, or treasurer. If the entity has no resident agent, or if a good faith attempt to serve the resident agent, president, secretary, or treasurer has failed, service may be made on the manager, a director, vice president, assistant secretary, assistant treasurer, or another person expressly or impliedly authorized to receive service of process.
For a limited liability company, Maryland Rule 2-124(h) provides that service is made by serving the resident agent. If the LLC has no resident agent, or if a good faith attempt to serve the resident agent has failed, service may be made on any member or another person expressly or impliedly authorized to receive service of process.
Maryland Rule 2-124(o) also allows substituted service through the Maryland State Department of Assessments and Taxation in certain circumstances, including where the entity has no resident agent, the resident agent is no longer at the listed address, or two good faith attempts on separate days to serve the resident agent have failed.
Real World Application
A Maryland corporation listing CSC Lawyers Incorporating Service Company as its resident agent should generally be served at 7 Saint Paul Street, Suite 820, Baltimore, Maryland. CSC may limit acceptance hours and may not provide the individual name of the person accepting service. The affidavit should document the date, time, exact location, documents delivered, and any available recipient description or office acceptance details.
D.C. Code § 29-104.12, including § 29-104.12(a), § 29-104.12(c), and § 29-104.12(d).
D.C. Code § 29-104.12(a) provides that a represented entity may be served with process, notice, or demand by serving its registered agent.
D.C. Code § 29-104.12(c) also permits service by handing a copy to an officer of the entity, a managing or general agent of the entity, or another agent authorized by designation or law to receive service of process for the entity, provided the individual served is not a plaintiff in the action.
D.C. Code § 29-104.12(d) provides a process for service through the Mayor when an entity fails to designate or maintain a registered agent in the District, or when the registered agent cannot be found after reasonable diligence and the required declaration is submitted.
Real World Application
For D.C. registered agent service, the server should document the exact suite and the manner of acceptance or refusal. Examples include CT Corporation at 1015 15th Street NW, Suite 1000, Registered Agents Inc. at 1717 N Street NW, Suite 1, Cogency Global at 1025 Connecticut Avenue NW, Suite 712, or CSC at 1156 15th Street NW, Suite 605. Do not use the Baltimore CSC example in the D.C. section.
Virginia Code § 8.01-299, including § 8.01-299(1), § 8.01-299(2), and § 8.01-299(3).
Virginia Code § 8.01-299 governs service on domestic stock corporations, nonstock corporations, and limited liability companies generally.
Under Va. Code § 8.01-299(1), process may be served by personal service on any officer, director, or registered agent of a domestic corporation, or on the registered agent of a limited liability company.
Va. Code § 8.01-299(2) also recognizes substituted service on stock corporations under Va. Code § 13.1-637, nonstock corporations under Va. Code § 13.1-836, and limited liability companies under Va. Code § 13.1-1018.
Va. Code § 8.01-299(3) further provides that if the registered office of the corporation or LLC is a single family residential dwelling, substituted service on the registered agent may be made in the manner provided by Va. Code § 8.01-296(2).
Real World Application
Virginia has several repeated registered agent service addresses, including 4701 Cox Road, Suite 285, Glen Allen, and 7288 Hanover Green Drive, Mechanicsville. Because multiple registered agent companies may use the same location, the affidavit should identify the exact registered agent company, the defendant entity, the suite, the recipient or refusal details, and the documents delivered. A shared address does not mean all registered agents at that address are interchangeable.
Federal Rule of Civil Procedure 4(h), including Rule 4(h)(1)(A), Rule 4(h)(1)(B), and Rule 4(m).
Federal Rule of Civil Procedure 4(h) governs service on a corporation, partnership, or association.
Under Fed. R. Civ. P. 4(h)(1)(A), a corporation, partnership, or association in a United States judicial district may be served in the manner prescribed by Rule 4(e)(1), which generally allows service by following the law of the state where the federal court is located or where service is made.
Under Fed. R. Civ. P. 4(h)(1)(B), service may also be made by delivering the summons and complaint to an officer, managing or general agent, or another agent authorized by appointment or by law to receive service of process. If the agent is authorized by statute and the statute requires it, a copy must also be mailed to the defendant.
Fed. R. Civ. P. 4(m) generally requires service within 90 days after the complaint is filed, unless the court extends the time or good cause is shown.
Real World Application
For a federal case, the federal rules do not automatically make any registered agent address valid.
The correct address still depends on the defendant entity and the applicable registered agent record.
A Maryland registered agent address should not be used for a D.C. or Virginia entity unless the corporate record supports it. The service packet and affidavit should clearly match the defendant, the registered agent, the jurisdiction, and the address served.
EEAT And Real-World Experience
A registered agent may refuse to sign, refuse to provide a name, or claim they will not accept certain documents. That does not automatically defeat service. If the agent is listed as authorized to receive service and the documents are properly delivered, the server should document the refusal, the exact location, the recipient or staff description, and the manner of delivery in the affidavit. Whether service is ultimately accepted as valid is a legal issue for the court.
No. Some registered agent offices have limited service of process hours or internal intake procedures. For example, a location may be open as a business office but only accept service during a shorter service window. The server should document the time of arrival, whether the office was open, what instructions were provided, and whether service was accepted or refused.
If the registered agent address on the state record is outdated, service may require additional attempts, service on another authorized person, substituted service, or another method allowed by the applicable court rules or statute. The correct next step depends on the jurisdiction, entity type, and case type.
Usually no, unless a specific rule, court order, agreement, or registered agent policy allows that method. Many registered agents expressly do not accept service of process by email. Physical delivery remains the standard method for most registered agent service requests.
This is common, especially in Virginia and Maryland. The affidavit should identify the exact registered agent company, the defendant entity, the suite, the person or office accepting service, and the documents delivered. The address alone is not enough.
Some registered agent offices do not provide the accepting individual’s name. When that happens, the affidavit should state that the office accepted service but declined or did not provide an individual name, and should include any available description, office name, suite number, date, time, and manner of delivery.
